1. Scope of These Terms

By subscribing to the ‘Impressed Vinyl Club’ (IMP049 Vinyl Club) you agree to be bound by these terms and conditions of use. The provision of information and services on this website by the owners and operators of Impressed Recordings Pty Ltd (Impressed / us / we) is subject to your agreement to the terms and conditions below.

2. Payment Terms 

2.1 Impressed offers a subscription plan for the Vinyl Club (Subscription Plan). We reserve the right to set the monthly fee payable for subscribing to the Vinyl Club (Subscription Fee). Information on the inclusions within the Subscription Plan is available at the product page.

2.2 By registering your Subscription Plan and providing us with the details of your Payment Method, you authorise us to charge your Payment Method the monthly Subscription Fee.

2.3 The first Subscription Fee will be charged to your Payment Method on the same day you subscribe (Initial Payment).

2.4 Following the Initial Payment your recurring monthly Subscription Fee will be charged to your Payment Method on the first day of each monthly subscription period (ie. on the 1st day of each calendar month). 

2.4 You may update your Payment Method by going to your “Manage Account” page. Following any update, you authorise us to continue to charge the applicable Payment Method(s).

2.5 Your first monthly subscription period for your Subscription Plan starts when you:

1. create your Account, or if your Account commences with a free trial period, immediately after expiry of your free trial period; and
2. pay your first monthly Subscription Fee from your Payment Method.

2.6 You will be eligible to receive your first monthly Vinyl Club release (Monthly Title) for the month in which you make your Initial Payment. For the avoidance of doubt, if you begin your Subscription Plan on 22nd March, your first album will be the Monthly Title selected for March. 

2.7 With respect to your Subscription Plan, at the start of the first monthly subscription period and each monthly subscription period thereafter, we will automatically renew your monthly subscription and charge your Payment Method the monthly Subscription Fee unless and until you cancel your Account. If you created your Account on the 29th or 30th of the month, your Payment Method will be charged your Initial Payment on that date, and the monthly Subscription Fee will be charged moving forward on the 1st of each calendar month.

2.8 Unless expressly stated otherwise, all Subscription Fees are GST inclusive. If your chosen Payment Method is your Valid Card, to ensure your Valid Card is not being used fraudulently, we may validate your Valid Card with a small pre-authorisation. This will result in the funds available on your Payment Method account being reduced by this amount. These funds are held by your card issuer. It may take some days for the validation amount to be re-adjusted on your Payment Method account.

2.9 You must ensure that the details of your Payment Method remain accurate and up to date. You can change your Payment Method details by contacting support@impressedrecordings.com.  

2.10 We may make any changes to: (a) the Subscription Fee (including increasing the Subscription Fee) for the Subscription Plan you are currently subscribed to at any time by giving you at least one calendar month’s prior notice.

2.11 If we are unable to collect the Subscription Fee from your Payment Method(s) for any reason, including, without limitation, expiration or insufficient funds, you remain responsible for any uncollected amounts, and we may suspend or cancel your access to the Vinyl Club without giving you notice until we have successfully charged a valid Payment Method. If your Subscription is cancelled, you will not be sent any Monthly Titles until the issue is resolved.

2.12 If we are able to collect the Subscription Fee from your Payment Method(s) during a period of suspension under clause 2.11 (including without limitation where you provide us with new or updated details of your Payment Method) we will reinstate your access to the Vinyl Club and your new monthly Subscription Plan will commence on the date we successfully charge your Payment Method.

2.13 You may cancel your Subscription Plan without penalty at any point and in doing so, you will not be charged the following month’s Subscription Fee support@impressedrecordings.com from the date which you email, and no further Subscription Fees will be charged from that point.

3. Record Of The Month 

3.1 Impressed will email you the details of each upcoming Monthly Title in advance of the public announcement on the 26th day of the preceding month to allow for an approved customer exchange (Swap).

3.2 If you have previously purchased the Monthly Title, or have another valid reason for wanting to exchange a specific Monthly Title with another Impressed catalogue item, you must email support@impressedrecordings.com between the 26th day and the end of the same calendar month with the title “Vinyl Club SWAP” in the subject of the email, and a brief reason as to your request to exchange the Monthly Title. 

3.3 It will be at the sole discretion of Impressed to approve and validate your request to Swap and you will be advised of the decision before the next Monthly Title is dispatched. If your Subscription Plan is valid there will be no limit to the number of Swaps you are permitted during your membership.

3.4 Impressed will announce each new Monthly Title to the public on the 1st of each calendar month and if your Subscription Plan is active the Monthly Title be dispatched on the 2nd of each calendar month (or if a weekend on the closest weekday to the 2nd).

3. Copyright, Trademarks and other Intellectual Property

Copyright, trademark, patent, and other applicable laws protect the services and materials appearing on the Site. Any unauthorized use of the words or images on this Site may violate copyright laws, trademark laws, the laws of privacy and publicity, and civil and criminal statutes. Impressed Recordings, impressedrecordings.com and Impressed IMP049 Vinyl Club are owned by Impressed Recordings Pty Ltd. None of the names, trademarks, service marks and logos of Impressed appearing on this Site may be used in any advertising or publicity, or otherwise to indicate Impressed’s sponsorship of or affiliation with any product or service without express written permission of Impressed Recordings Pty Ltd. Nothing contained on the Site should be construed as granting, by implication, estoppel, waiver or otherwise, any license or right of use to any trademark displayed on the Site without the written permission of the owners and operators of impressedrecordings.com or the third-party owner of the trademark, if any. This Site may contain other proprietary notices and copyright information, the terms of which must be observed and followed.

4. Disclaimer of Warranty; Limitation of Liability

Impressed Recordings makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement of intellectual property or other violation of rights. Further, Impressed Recordings does not warrant or make any representations concerning the accuracy, completeness, or reliability of the information and materials on this Site or on any site linked to it. The materials on Impressed Recordings Site are provided “as is” and “as available”.

In no event shall Impressed Recordings or its suppliers be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use this Site, notwithstanding that Impressed Recordings or an Impressed recordings-authorized representative may have been notified orally or in writing of the possibility of such damage. Please note that some jurisdictions do not allow the exclusion of implied warranties, or limitations of liability for consequential or incidental damages, so some of the above exclusions and limitations may not apply to you.

5. Privacy Policy

5.1 By signing up to our Vinyl Club you are subscribing to the same standard terms as the Impressed Recordings Privacy Policy which you can find here.

6. Refund and Shipping Policy

6.1 The standard Impressed Recordings Refund Policy and Shipping Policy will apply to Vinyl Club orders.

7.Revisions and Errata

7.1 The materials appearing on Impressed Recordings website could include technical, typographical, or photographic errors. Impressed Recordings does not warrant that any of the materials on its website are accurate, complete, or current. Impressed Recordings may make changes to the materials contained on its website at any time without notice. Impressed Recordings does not, however, make any commitment to update the materials.

8. Indemnification

8.1 You agree to indemnify, defend and hold harmless Impressed Recordings and its respective affiliates, employees, officers, directors, agents, servants and representatives from any liability, loss, claim, suit, damage, and expense (including reasonable legal fees and expenses) related to (i) your violation of these terms and conditions and (ii) your posting of material to this Site.

9. Right to Change Terms and Conditions

9.1 Impressed Recordings may from time to time change or add to these terms and conditions. Any changes to these terms and conditions will be effective immediately upon posting of the changed terms and conditions on the Site. You agree to review these terms and conditions periodically, and use of the Site following any such change constitutes your agreement to follow and be bound by the terms and conditions as changed.

10. Governing Law

These terms and conditions and the resolution of any dispute related to them shall be construed in accordance with the laws of the State of New South Wales. Any dispute between Impressed Recordings and you related to these terms and conditions shall be resolved exclusively by the state and federal courts of the State of New South Wales.

12. Impressed Vinyl Club Membership Referral Program

From your Impressed Vinyl Club account, you can invite non-members to join the membership at a discount. A non-member is a person who is not an active Impressed Vinyl Club member and has not received any membership referral credit in the past 365 days. If your invitee joins Impressed Vinyl Club, you will receive a credit towards your membership fee (the “Referral Fee”) based on which membership your invitee selects. Members will receive $20(AUD) credit on monthly signups, $49.99(AUD) credit on annual signups.

The Referral Fee is a one-time discount which will be applied to your following monthly Subscription Fee. If you accrue multiple Referral Fees through multiple referrals, we will credit those Referral Fees towards your Impressed Vinyl Club future membership fees. The Referral Fee is non-transferable, has no intrinsic value, and may not be exchanged for cash or other goods or services. To be eligible to receive a Referral Fee, you must be a current Impressed Vinyl Club member. Referral Fees for memberships activated after your membership will remain tied to your account and may be used towards your membership reactivation. If the amount of Referral Fees exceeds or is equal to the amount of your membership fee, your membership fee for the applicable period will be $0 and the balance of your Referral Fee will be applied to your next membership fee. Any invitee cancelling their membership will not affect your Referral Fee. We reserve the right to withhold the Referral Fee if we determine in our sole judgment that your invitee is likely you or another non-qualifying invitee (such as, without limitation, a current Impressed Vinyl Club member using different contact information).

14. Impressed Store Referral Program

Anyone (doesn’t have to be an existing customer) can invite a new shopper to make a purchase from the Impressed store at a discount. To be eligible, the invitee must have never purchased from the Impressed store before. The invitee will get $10(AUD) off a store purchase of $50 or more. If the invitee makes the $50+ purchase, you will receive $10 in store credit. The discount value is subject to change and can easily change with promotions, etc. There is no limit to how many people you can refer (subject to change). Invitee cannot share your email or IP address or one that has shopped from our store before. Invites do not expire.
